ToledoBuzz Advertiser Terms and Conditions
These Advertiser Terms and Conditions (the “Agreement”) govern the relationship between ToledoBuzz LLC (“ToledoBuzz,” “we,” or “us”) and the Advertiser (“Advertiser,” “you”). By purchasing advertising services, you agree to the terms set forth below:
1. Ad Placement and Delivery
1.1 Ad Specifications: Advertiser must submit all advertisements (“Ads”) in accordance with the specifications provided by ToledoBuzz. Ads that do not meet these specifications may be rejected.
1.2 Ad Placement: Ad placement is subject to availability and determined at ToledoBuzz’s sole discretion unless otherwise agreed in writing.
1.3 Delivery: Advertiser must deliver all Ad materials at least three (3) business days prior to the agreed start date. Late delivery may result in delays or forfeiture without refund.
2. Payment Terms
2.1 Full Payment Required: All Ad campaigns must be paid in full prior to the campaign start date unless otherwise agreed in writing. Failure to make full payment will result in the campaign being delayed or canceled.
2.2 Payment Plans: If Advertiser opts for a payment plan, the campaign will be paused until payment is received. Advertiser acknowledges that their credit may be assessed by a third-party provider such as Klarna, Afterpay, or a similar service if payment plans are utilized.
2.3 Late Fees: If a payment is late under an agreed-upon payment plan, a late fee of 1.5% per month or the maximum rate allowed by law, whichever is less, will apply. Campaigns will remain paused until the outstanding balance is resolved.
2.4 Non-Refundable Fees: All payments are non-refundable unless otherwise specified in this Agreement.
3. Content Standards and Approval
3.1 Prohibited Content: Ads must not contain content that is unlawful, misleading, offensive, or otherwise inappropriate as determined by ToledoBuzz in its sole discretion.
3.2 Approval Rights: ToledoBuzz reserves the right to review, approve, or reject any Ad at any time for any reason.
4. Campaign Metrics and Reporting
4.1 Impressions and Clicks: Any campaign performance metrics (e.g., impressions, clicks) provided by ToledoBuzz are estimates and not guaranteed unless explicitly stated otherwise.
4.2 Third-Party Tracking: Advertiser may use third-party tracking pixels with prior written approval from ToledoBuzz, provided they comply with our technical and privacy requirements.
4.3 Ad Stats Tracking: While views are not guaranteed for Ads reserved at a monthly fixed cost, most Ad types can be tracked using ToledoBuzz’s ad-stats dashboard. These stats include impressions and clicks, which are accessible upon request.
5. Term and Termination
5.1 Term: This Agreement will remain in effect for the duration of the Ad campaign as specified in the insertion order.
5.2 Termination for Cause: Either party may terminate this Agreement immediately if the other party breaches any material term of this Agreement and fails to cure such breach within ten (10) business days of receiving notice.
5.3 Cancellation: Advertiser may cancel an Ad campaign by providing at least ten (10) business days’ written notice prior to the campaign start date. Cancellations after this period may result in full payment of the contracted amount.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the Agreement.
7. Indemnification
Advertiser agrees to indemnify, defend, and hold harmless ToledoBuzz, its affiliates, and their respective employees, contractors, and agents from and against any claims, damages, or liabilities arising from the Advertiser’s Ads or breach of this Agreement.
8. Limitation of Liability
ToledoBuzz’s liability for any claim related to this Agreement shall not exceed the amount paid by the Advertiser for the specific Ad campaign. ToledoBuzz is not liable for indirect, incidental, or consequential damages.
9. Force Majeure
ToledoBuzz shall not be held liable for any failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, government restrictions, technical failures, or interruptions in service.
10. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio. Any disputes arising under this Agreement shall be resolved through binding arbitration in Toledo, Ohio.
11. Miscellaneous
11.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
11.2 Amendments: This Agreement may only be amended in writing signed by both parties.
11.3 Assignment: Advertiser may not assign or transfer this Agreement without prior written consent from ToledoBuzz.
By submitting an insertion order or agreeing to run Ads on ToledoBuzz, the Advertiser acknowledges and agrees to these Terms and Conditions.
